Every Effort has been made to avoid errors or Inaccuracies in this
software. Inspite of this, errors may occur. Any calculation
mistake, errors or discrepancy noted may be brought to our notice
which shall be taken care.
It is notified that the Company (Electrocom Software Private
Limited), Developers, Distributors, Dealers or Resellers do not
assume any responsibility or liability for any errors or omissions
and losses or damages caused due to that to any one, of any kind,
in any manner, therefrom.
It is suggested that to avoid any doubt the user must cross-check
all the facts, calculations, laws and contents of the software
with original Government Publications, Notifications & Circulars.
It is suggested that the Notifications / Circulars, Act / Rules
provided in software must be cross-checked with original
Government Publications, Notifications & Circulars.
No Claims could be made regarding software, after sales services,
refund policy or any reasons, whatsoever, against the Company
(Electrocom Software Private Limited), Developers, Distributors,
Dealers or Resellers, of this software.
Electrocom Software Private Limited (ESPL) or any of its
Distributors, Dealers, Resellers or Executives shall not be liable
for any data loss or any other loss or damages arising out of the
use or inability to use this software or any matters incidental or
related to this above.
The Software is provided on “As is” basis so user must check all
features and functions of software before purchase and by
installing or using this software package or program, you indicate
your acceptance to this terms & conditions. If you do not accept
or agree with these terms, you must not install or use this
software package or program.
It is suggested that before purchase of software product from
Company, its Distributors, Dealers, Resellers or Executives users
should see & check the demo version of the software and if the
features and functions of software product appropriate to customer
/ user then only user should purchase the software. After purchase
of software no refund will be provided by company or by its
authorized sales channels.
This Software Set-up has been thoroughly scanned and tested at all
stages of Development but, we still recommend you to run a virus
scanner before use. We also recommend you to have up-to-date
back-up of your software at all times. Electrocom Software Private
Limited (ESPL) or any of its Distributors, Dealers, Resellers or
Executives shall not be liable / responsible for any disruption,
damages and/or loss to your data or computer system or any other
loss or damages arising while using Software Set-up or any updates
of software, or inability to use this software or any matters
incidental or related to this above.
In case of Export / Import of data from any other software/program
verify all the data; the company is not responsible for any kind
of differences.
The Company does not guarantee any upgrades / updates of software.
No part of this software may be reproduced or copied in any form
or by any means without the written permission of the Electrocom
Software Private Limited. Breach of this condition is liable for
legal action.
The software License is nontransferable.
All rights to the “Software Product”, documentations are
exclusively owned by the company - Electrocom Software Private
Limited.
If the customer willing to purchase the products or services of
the company, customer has to fill the User Information Form
provided by the company in website or product or service.
The amount or payment of the product to be paid in advance
thereafter product or service shall be provided or delivered to
the client
The company will sell only product or service to the client.
Support service charges are not included in the price of the
product or service.
The Company reserves the right to reject the delivery of the
product or service if company seems that client is actually or
allegedly engaged in activities that are illegal, dishonest or
wrongful or which may be harmful to the company in any way.
The Company shall not be liable for service interruptions, delays,
failures to perform, damages, losses or destruction, or
malfunction of any product or any consequence thereof caused or
occasioned by, or due to fire, flood, water, the elements, acts of
God, war and threat of forthcoming war, labor disputes or
shortages, utility limitations, power failures, explosions, civil
turbulences, governmental actions, shortages of equipment,
inaccessibility of transportation, acts or omissions of third
parties, or any other cause beyond the Company’s reasonable
control.
During the service of the company client does such act by which
company got irreparably loss in his business. Company will be
entitled to recover such loss from the client by filing recovery
suit through legal proceedings.
If any dispute arises between the company and client hereto in
respect of this agreement or in connection with any claim by one
against the other the same will be subject to Ahmedabad
Jurisdiction.
Renewal Policy
Existing Clients must have to purchase Renewal of the software for
every Assessment year (A.Y) / Financial year (F.Y) (applicable as
per software product module) to continue the operation of
purchased software. Without purchase of new version / Renewal of
software every year; you cannot demand any kind of support or
service even for working on old year data from Company,
Developers, Distributors or Resellers.
In Every Assessment year (A.Y) / Financial year (F.Y) (applicable
as per software product module) customer purchases a new product
or service after 31st December, then renewal for the next
Assessment year (A.Y) / Financial year (F.Y) will be free.
Purchased before 31st December, then renewal will be applicable
for next Assessment year (A.Y) / Financial year (F.Y).
Refund Policy
Any product/service once purchased cannot be canceled in any
circumstances. Software users are requested to use trial version
of software, view & test the product features and functions before
placing any order & payment for the product or service.
Electrocom Software Private Limited (hereinafter referred as
“ESPL”) will refund the amount in the following circumstance only
-
Multiple times debiting of Customer’s Card/Bank Account due to
technical error OR Customer’s account being debited with excess
amount in a single transaction due to technical error. In such
cases, the excess amount excluding Payment Gateway charges would
be refunded to the Customer.
The Customer will have to make an application for a refund along
with the Payment Details, like transaction number, payment receipt
and bank details with IFSC code for refund.
The application will be processed manually and after the
verification, if it found valid, the amount received in excess
will be refunded by ESPL in favour of the applicant within a
period of Fourty five days on receipt of such claim.
Common Provision
Electrocom Software Private Limited reserves the power to withdraw
support of the software, if you default in any of terms set forth
in this disclaimer
Developers, Distributors, Dealers or Resellers shall provide only
telephonic, email, Remote Access (e.g. TeamViewer...) web-based
support & service. Supply updated versions of the software on
company’s website, as & when released. However, for the purpose of
supplying you with updated versions of the software, the cost of
media and forwarding cost if any shall be borne exclusively by you
in advance.
In case of non-acceptance of terms, you may terminate this license
at any time by destroying all Set-up / folder of the software; in
such case, no refund will be provided by the company or by its
authorized sales channels.
These terms and conditions are governed by the laws of India and
the competent courts at Ahmedabad, Gujarat shall have exclusive
jurisdiction.
Electrocom Software Private Limited expressly excludes liability
for itself and for its directors and its employees for direct or
indirect consequential loss, damage, economic or otherwise,
including loss of profits and loss of reputation even if advised
of the possibility thereof.
Electrocom Software Private Limited may, without any notice,
refuse, curtail, modify, suspend, disconnect or terminate the
Services in whole or in part at any time if so directed by any
statutory authority or judicial forum, without assigning any
reason whatsoever and unless otherwise agreed by Electrocom
Software Private Limited, no payment obligations shall be relaxed
in connection therewith.
Dispute Resolution
Any dispute arising in relation to the terms and conditions will
be submitted to a sole arbitrator appointed by Electrocom Software
Private Limited under the provisions of the Arbitration and
Conciliation Act and rules framed there under. The venue of
Arbitration shall be at Ahmedabad, Gujarat.
Cautions
Do not delete any files or folders related to this software.
Deleting any files could make software Malfunction or Corrupt /
Destroy the whole data.
Prior to Format of Hard disk, change of Hard disk or change of
computer system customers must contact company for the proper
understanding of software surrender related procedure. In failure
to do this may create loosing of software or data from software.
Without following software surrender procedure - format or change
of hard disk or change of computer system then Reactivation of
software is chargeable.
That in case of any dispute arising out of interruption of the
above term of and conditions, the decision of the company shall be
final
